Spencer’s practice focuses on business and commercial litigation, including construction, employment, entertainment, and other business-related disputes, including member/partner/shareholder disputes, corporate governance disputes, commercial contract disputes, intellectual property disputes, and disputes arising out of fraud and breach of fiduciary duties. He also represents businesses and individuals with governmental investigations, citations, and hearings.


In addition to litigating, Spencer also advises and represents companies in various corporate matters, including contract review and negotiation, regulatory issues, business formation and organization, buy-sell agreements, and employment agreements.


Before joining GHU, Spencer worked as in-house counsel for a venture capital firm, handling all aspects of the firm’s and its portfolio companies’ legal and compliance needs, which involved a wide variety of practice areas, including drafting and negotiating term sheets, handling any disputes or litigation matters (whether arising in-house or from third parties), negotiating and drafting contractor and employment agreements, managing corporate governance and organizational matters, funding, and overseeing due diligence.
